1. Agreement to These Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website, online store, and related services operated by Dylign (“Dylign”, “we”, “us”, or “our”) (collectively, the “Services”).

By accessing or using the Services, including browsing our site, requesting a quote, ordering samples, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Services.

You may use the Services only if you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding contract.

2. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• use the Services in any way that violates applicable laws or regulations;  
• attempt to gain unauthorized access to any part of the Services or any related systems or networks;  
• interfere with or disrupt the operation of the Services, including by introducing viruses, malware, or other harmful code;  
• use any automated means (such as bots, scrapers, or spiders) to access the Services, except as permitted by applicable law and our express written permission; or  
• use the Services in a way that infringes or violates the rights of Dylign or any third party.

We may, at our sole discretion, suspend or terminate your access to the Services if we believe you have violated these Terms or are otherwise engaging in harmful or abusive behavior.

3. Information Accuracy

You are responsible for ensuring that all information you provide to us through the Services is accurate, complete, and up to date, including contact details, shipping information, and packaging specifications.

You acknowledge that our quotes and orders are based on the information you provide. If any information is incorrect or incomplete, the quote may be inaccurate and we may need to revise pricing, lead times, or other terms. We are not responsible for delays, additional costs, or issues arising from inaccurate or incomplete information supplied by you.

4. Quotes, Samples, and Orders

4.1 Quotes

You may request quotes for custom packaging by submitting information through our online forms, email, or other communication channels. Quotes are based on factors such as product type, size, materials, printing, finishing, quantities, and shipping destination.

Unless otherwise stated in writing, quotes:

• are estimates only;  
• are valid for a limited time period (for example, 30 days) from the date of issue; and  
• may be subject to change if material, labor, currency, or freight costs change, or if the specifications are revised.

A quote does not constitute a binding contract. A binding contract is formed only when we confirm your order as described below.

4.2 Samples

We may offer samples (including plain or printed samples) so that you can evaluate materials, printing, and sizing.

Unless otherwise stated:

• samples may be charged at a separate price, which may or may not be creditable toward a later production order;  
• sample lead times are estimates only and may vary depending on specifications and production capacity; and  
• minor differences between samples and final production runs may occur due to manufacturing tolerances, color variation, or material availability.

4.3 Orders and Acceptance

Your submission of an order, including acceptance of a quote or confirmation of specifications, constitutes an offer to purchase products from us. We are not obligated to accept any order.

We will confirm acceptance of your order by email or other written confirmation. A contract for the supply of the relevant products is formed only when we issue our order confirmation.

We reserve the right to cancel or refuse any order for reasons including pricing errors, inability to source materials, suspected fraud or abuse, or other legitimate business reasons. If we cancel an order after payment has been received, we will refund the amount paid for that order, subject to any applicable bank or payment processor fees.

5. Pricing, Taxes, and Payment

5.1 Prices

Unless otherwise stated, all prices are:

• in the currency indicated on the quote or order confirmation; and  
• exclusive of taxes, duties, customs charges, and shipping costs, which may be shown separately or billed separately.

We make reasonable efforts to ensure that pricing displayed on the site or in our communications is accurate. However, errors may occur. If we discover a pricing error in any quote or order, we may correct the error and will contact you to confirm whether you wish to proceed at the correct price.

5.2 Taxes and Duties

You are responsible for any taxes, duties, customs charges, or other government fees that apply to the sale, import, or use of the products in your jurisdiction. We are not responsible for delays or additional costs resulting from customs clearance procedures.

5.3 Payment

Payment terms will be set out in your quote or order confirmation. Unless otherwise agreed in writing:

• payment is due at the time specified in the invoice; and  
• we may require partial or full prepayment before beginning production or shipment.

We may use third-party payment processors (such as Shopify Payments or other providers) to process payments. You agree to comply with any applicable terms of such payment processors. We are not responsible for any error or issue caused by third-party payment services.

6. Custom Products, Tolerances, and Color Variation

6.1 Custom Products

Most of our products are custom-made according to your specifications. You are responsible for reviewing and approving all specifications, including dielines, artwork, materials, sizes, finishes, and quantities, before production.

Once you have approved final artwork and specifications, changes may not be possible or may result in additional costs and delays.

6.2 Production Tolerances

You acknowledge that reasonable manufacturing tolerances may occur. Without limiting the generality of the foregoing, you agree that:

• minor variations in color, cutting, folding, or finishing may occur;  
• quantity delivered may vary within a reasonable tolerance (for example, ±5%) from the ordered quantity; and  
• minor deviations from exact dimensions may occur due to production limitations and material characteristics.

Such variations will not be considered a defect or grounds for rejection, provided that the products remain fit for their intended purpose as reasonably communicated to us.

6.3 Color and Material Variation

Colors displayed on screens or digital proofs may appear differently from printed products due to differences in display settings, printing processes, and materials. We recommend ordering physical samples if precise color is critical.

Material availability may change. In some cases, we may offer alternative materials of similar quality and performance. Any changes will be communicated to you for approval.

7. Shipping, Delivery, and Risk of Loss

7.1 Shipping and Delivery

Shipping terms, methods, and estimated delivery times will be specified in your quote or order confirmation. Delivery times are estimates only and are not guaranteed.

We are not liable for delays caused by events beyond our reasonable control, including but not limited to carrier delays, customs inspections, port congestion, labor disputes, natural disasters, or other force majeure events.

7.2 Risk of Loss

Unless otherwise agreed in writing, risk of loss or damage to the products passes to you when the products are delivered to the carrier or otherwise made available for collection in accordance with the agreed shipping terms (for example, FOB, CIF, or other Incoterms, if applicable).

You are responsible for filing any claims with carriers for lost or damaged shipments. We will reasonably assist you in doing so where possible.

8. Returns, Cancellations, and Changes

Because most of our products are custom-made to your specifications, orders are generally **non-cancellable and non-returnable** once production has started, except where required by law or agreed by us in writing.

If you believe that products are defective or not in conformity with the agreed specifications, you must notify us in writing within a reasonable period after delivery (for example, within 7–14 days) and provide supporting evidence such as photographs and lot numbers. We may request that you return samples of the allegedly defective products for inspection.

Our sole obligation, at our option, will be to:

• repair or replace the defective products; or  
• issue a credit or refund for the portion of the price relating to the defective products.

In no event will we be responsible for any loss or damage resulting from products that have been misused, stored improperly, or used contrary to our reasonable instructions or industry practice.
